BOWER ASHTON RESIDENTS ASSOCIATION
CONSTITUTION



  1. TITLE

    • The name of the Association shall be Bower Ashton Residents Association hereinafter called the 'Association'.

  2. AIMS/OBJECTS

    • The Association is set up to: promote the interests of the people who live in Bower Ashton. It seeks to safeguard the conservation area status of Bower Ashton and address problems and issues as they arise. It also seeks to help improve the living environment for the residents living the area.
    • In furtherance of the aims the Association may do all such lawful things as are necessary for the attainment of the aims.

  3. MEMBERSHIP

    • Membership is open to all residents of Bower Ashton.
    • Individual Membership shall be open to any individual over the age of 18, (and to anyone under the age of 18 with parent/guardian consent). All individual members are entitled to vote.
    • Membership shall cease immediately upon a person leaving Bower Ashton.

  4. THE COMMITTEE

    • The committee shall be elected at the AGM and shall have a minimum of 5 members. The committee shall elect within their number a Chair, Secretary and Treasurer.
    • The elected committee members shall hold office for a term of 1 year at the expiration of which they are eligible for re-election.
    • The committee shall make and carry out decision in accordance with the objectives of the group.
    • Meeting of the committee shall be open to any member of the group who wishes to attend.
    • There must be a quorum of at least 3 committee members present for any decisions to be made at a committee meeting.

  5. FINANCES

    • The group may raise funds by obtaining grants from other bodies, membership fees, or fundraising schemes. All moneys raised on behalf of the group shall be applied to further its objectives.
    • All funds shall be kept in a bank account in the name of the 'Bower Ashton Residents Association'.
    • The Secretary, Treasurer and Chair shall be signatories and all cheques shall require 2 of these signatories.
    • Accounts shall be kept by the Treasurer.
    • Once a year, the accounts will be presented to the AGM of the group.

  6. AGM

    • An AGM shall be held every year to discuss the activities of the group, to receive the account and to elect the committee.

  7. CHANGES TO CONSTITUTION

    • Any proposal to alter the constitution must be approved at the AGM.

  8. TERMINATION OF MEMBERSHIP

    • If the action of any member shall, in the opinion of the committee, be injurious to the Association, the committee is empowered to suspend that member.

  9. DISSOLUTION

    • The Association may be dissolved only at the AGM or at a special meeting concerned for the purpose of dissolution. The motion to dissolve must be carried by ¾ of members present and voting.
    • Before a vote for or against dissolution be taken, the meeting shall determine how the assets of Association shall be disposed of in the event of the motion to dissolve being carried. Any assets remaining after the satisfaction of proper debts and liabilities shall be given or transferred to such other charitable organisation(s) having similar objects of the Association as the meeting may determine.
